By accessing or using OptraHEALTH's services, website, or platform (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services. These Terms apply to all visitors, users, and others who access or use the Services.
OptraHEALTH provides AI-powered healthcare intelligence software including the HealthFAX™ platform and its modules — Revenue Intelligence, Clinical Intelligence, Patient Engagement, and Integrations — as well as GeneFAX, a standalone AI-powered genomics product. Our Services are designed for healthcare organizations, providers, laboratories, and payors. Use of the Services is subject to a separate executed agreement with OptraHEALTH unless otherwise specified.
Where account registration is required, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use at info@optrahealth.com. We reserve the right to suspend or terminate accounts that violate these Terms.
You agree not to use the Services to: (a) violate any applicable law or regulation, including HIPAA and other healthcare privacy laws; (b) transmit unauthorized or unsolicited communications; (c) interfere with or disrupt the integrity or performance of the Services; (d) attempt to gain unauthorized access to any portion of the Services or related systems; (e) use the Services to process data in a manner inconsistent with your Business Associate Agreement (BAA) with OptraHEALTH; or (f) reproduce, duplicate, copy, sell, or exploit any portion of the Services without express written permission.
The Services and all content, features, and functionality — including but not limited to text, graphics, software, and the HealthFAX™ platform — are owned by OptraHEALTH Inc. and are protected by U.S. and international copyright, trademark, patent, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Services beyond the limited license to use them as provided herein.
Your use of the Services is also governed by our Privacy Policy. OptraHEALTH complies with the Health Insurance Portability and Accountability Act (HIPAA). Healthcare organizations using our Services to process Protected Health Information (PHI) must execute a Business Associate Agreement (BAA) with OptraHEALTH prior to any such processing. To the maximum extent permitted by applicable law, OptraHEALTH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of $100 or the amounts paid by you to OptraHEALTH in the 12 months prior to the claim.
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. OptraHEALTH does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.
You agree to indemnify, defend, and hold harmless OptraHEALTH Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the effective date at the top of this page and, where appropriate, notifying you via email. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Santa Clara County, California.
We reserve the right to terminate or suspend your access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason. Upon termination, your right to use the Services immediately ceases.
